Synonym Policy

Terms & Conditions

These Terms of Service ("Terms") are a binding legal agreement between you and Synonym Lab, governing your use of our websites and other services (collectively, the "Synonym Lab Platform"). By accessing or using the Synonym Lab Platform, you agree to comply with and be bound by these Terms.

Definitions:

  • "Synonym Lab," "we," "us," or "our" refers to the Synonym Lab entity with whom you are contracting.

  • "Member" refers to any individual who registers to use our platform, including both Hosts and Customers.

Role of Synonym Lab:

  • Synonym Lab provides a platform to facilitate the matching of Customers with local creative experiences offered by Hosts. We do not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any listings or services.

  • Synonym Lab is not a party to any agreements entered into directly between Hosts and Customers. We do not act as a real estate broker, travel agency, insurer, or agent in any capacity for any Member.

  • Hosts are independent entities and are solely responsible for their listings and services. Customers are responsible for selecting and engaging with Hosts.

Liability Disclaimer:

  • Synonym Lab is not liable for any agreements made between Members, nor for any issues arising from the interactions or transactions between Hosts and Customers.

  • Members acknowledge that any legal recourse or remedy they seek for actions or omissions of other Members or third parties will be limited to a claim against those particular Members or third parties.

Indemnification:

  • You agree to indemnify and hold Synonym Lab harmless from any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Synonym Lab Platform, your breach of these Terms, or your interaction with other Members.

1. Introduction

Synonym Lab Creative Experiences is a membership-based platform that facilitates the discovery of diverse cultural experiences. By accessing or using our platform, you agree to comply with these legally binding Terms.

2. Eligibility

Age Requirement: You must be at least 18 years old to use our platform.

Legal Capacity: Users must have the legal capacity to enter into a binding agreement.

3. Membership and Accounts

Registration: Users must provide accurate and complete information when registering and must update this information as necessary.

Account Security: Users are responsible for safeguarding their account credentials and are liable for any activities conducted under their account.

4. Use of the Platform

Personalization: Our platform uses algorithms to match members with experiences. Users consent to this personalization.

Prohibited Content: Users must not post content that is illegal, harmful, or infringes on the rights of others. Synonym Lab reserves the right to remove such content.

5. Host and Customer Roles

Hosts' Responsibilities: Hosts must ensure their listings are accurate and comply with all applicable laws and regulations. They are solely responsible for their interactions with Customers.

Customer's Responsibilities: Customers must provide accurate information and adhere to platform rules.

 

6. Fees and Payments

Disclosure of Fees: All fees will be disclosed prior to listing or booking a service. Fees are generally non-refundable unless otherwise stated.

Tax Obligations: Hosts are responsible for reporting and paying any applicable taxes on earnings from services provided through Synonym Lab.

7. Cancellation Policy

7.1 For Customers:

Non-Cancellation Policy for Pre-Matched Workshops: Customers are not permitted to cancel their participation in matched workshops. However, they may transfer their ticket to another individual at no additional cost. If a workshop is cancelled by the host, customers will be entitled to compensation as follows:

  • If a customer is unable to participate in a workshop due to a host cancellation once within a calendar month, they will receive a 50% discount coupon for the following month.

  • If a customer is unable to participate in two or more workshops due to host cancellations within a calendar month, they will be eligible for a full refund for that month.

7.2 For Hosts

7.2.1 Host-Initiated Cancellations:

  • Cancellation Less Than 3 Days Before the Workshop Starts: If a Host cancels a pre-matched workshop less than 3 days before it is scheduled to start, the Host will be required to pay a fine of £50. This fine serves as compensation to the affected Customers for the inconvenience caused.

  • Cancellation Between 3 and 14 Days Before the Workshop Starts: If a Host cancels a pre-matched workshop between 3 and 14 days before it is scheduled to start, the Host will incur a compensation fee of £30. This fee is intended to compensate the affected Customers.

7.2.2 Emergency Cancellations: In the case of emergencies or unforeseen circumstances, Hosts must contact Synonym-Lab support immediately. Each situation will be evaluated individually, and penalties may be waived at Synonym-Lab's discretion.

7.3 General Terms Force Majeure: Neither Synonym-Lab, Customers, nor Hosts will be held liable for cancellations due to events beyond their control, such as natural disasters, government actions, or other force majeure events. In such cases, alternative arrangements or refunds will be considered on a case-by-case basis.

Policy Updates: Synonym-Lab reserves the right to modify this cancellation policy at any time. Users will be notified of significant changes, and the updated policy will be posted on the platform.

 

8. Data Protection and Privacy

Compliance with Laws: Users must comply with applicable data protection laws, including GDPR. The General Data Protection Regulation (GDPR) is a comprehensive legal framework established by the European Union to protect personal data and privacy for individuals within the EU.

Privacy Policy: Users agree to handle personal data in accordance with our Privacy Policy. Explicit consent is required for sharing third-party data.

 

9. Intellectual Property

9.1 Ownership:

Synonym Lab retains ownership of all intellectual property rights for content and materials created by Synonym Lab on the platform, including any original methodologies, presentations, and branding associated with our workshops.

Users and contributors who create content for workshops grant Synonym Lab a non-exclusive, royalty-free license to use, reproduce, distribute, and display this content for promotional and operational purposes. This license does not transfer ownership, allowing creators to retain their rights and license the content to others.

9.2 Collaborative Content:

For content developed collaboratively with external creators, ownership and usage rights will be governed by separate agreements that clearly define each party's rights and responsibilities.

Infringement:

Users must not infringe on the intellectual property rights of Synonym Lab or any third parties. This includes unauthorized use of copyrighted materials, trademarks, or proprietary information.

Synonym Lab reserves the right to remove any content that infringes on intellectual property rights and may take appropriate legal action against violators.

 

10. Limitation of Liability

Disclaimer: Synonym Lab is not liable for any indirect, incidental, or consequential damages arising from the use of the platform. Hosts are advised to obtain public liability insurance for their venues. Synonym Lab assumes no responsibility for any disputes, damages, or issues related to activities conducted by hosts.

No Warranty: The platform is provided "as is" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

 

11. Termination and Suspension

Rights to Terminate: Synonym Lab may suspend or terminate accounts that violate these Terms or applicable laws. Users may terminate their accounts by notifying us.

 

12. Dispute Resolution

Governing Law: These Terms are governed by the laws of England and Wales.

Mandatory Negotiation: In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiations. Both parties shall designate representatives with the authority to negotiate and settle the dispute.

Mediation: If negotiations fail to resolve the dispute within 30 days, the parties agree to submit the dispute to mediation before a mutually agreed-upon mediator. The mediation shall be conducted in accordance with the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure.

Arbitration: If mediation does not result in a resolution within 60 days of the commencement of mediation, the dispute shall be referred to and finally resolved by arbitration under the LCIA Rules, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be London, England. The language to be used in the arbitral proceedings shall be English.

Exclusivity of ADR: The parties agree that the dispute resolution procedures set forth in this section are mandatory and the exclusive mechanism for resolving any dispute arising out of or relating to these Terms. Neither party may commence any court proceedings in relation to any dispute arising out of these Terms until it has attempted to settle the dispute by negotiation, mediation, and arbitration, and either of those procedures has been concluded.

Limited Exceptions: Notwithstanding the above, either party may seek injunctive relief or other interim measures from a court of competent jurisdiction to prevent irreparable harm or to preserve the status quo pending the resolution of the dispute through the agreed ADR procedures.

Costs: Each party shall bear its own costs in relation to the dispute resolution procedures, and the costs of mediation and arbitration shall be shared equally unless otherwise determined by the mediator or arbitrator.

 

13. Modification of Terms

Notice of Changes: We may modify these Terms with 30 days' notice. Users will be informed of significant changes and can terminate their accounts if they disagree with the new terms.
